These Terms & Conditions govern your access to and use of the Eagle Network Marketplace (the "Marketplace"), operated by Eagle Venture Fund ("Eagle", "we", "us", "our"). By accessing the Marketplace you agree to these terms. If you do not agree, do not use the Marketplace.

Membership

The Marketplace is a private, invitation-only network for Eagle portfolio companies, their founders, limited partners and friends of Eagle. Access is granted at Eagle's discretion and may be limited, suspended or revoked at any time, including for breach of these terms. You are responsible for keeping your login credentials secure and for activity under your account. Limited partners and friends of Eagle receive read-only access.

Acceptable use

Membership gives you access to other members' profiles and direct contact details. You agree to:

• use member contact details only for genuine, network-related communication;
• not share, export, scrape, sell or otherwise disclose other members' contact details or members-only content to anyone outside the network;
• provide accurate information and only post content you have the right to share;
• not misuse the platform, attempt to gain unauthorised access, or disrupt its operation.

Direct access to founders and members is a privilege of membership; misuse may result in immediate removal.

Member benefits and dealings between companies

Offerings, requests and member benefits are made available company-to-company in good faith. Eagle is not a party to any agreement, transaction or benefit arranged between members and does not guarantee, endorse or take responsibility for them. Any dealings — including the terms, quality, delivery and honouring of a benefit — are solely between the companies involved, and you are responsible for your own due diligence.

Your content

You retain ownership of the content you submit (company profiles, listings, founder information and messages). You grant Eagle a non-exclusive, royalty-free licence to host, display and distribute that content within the Marketplace for the purpose of operating the network. You are responsible for ensuring you have the rights and any permissions necessary to submit it, and that it does not breach any confidentiality obligation or applicable law.

Intellectual property

The Marketplace, its design, branding and software are owned by Eagle or its licensors and are protected by law. Except for your own content, nothing here grants you any rights in Eagle's intellectual property.

Disclaimers

The Marketplace is provided "as is" and "as available", without warranties of any kind. Nothing on the Marketplace is investment, legal or professional advice, and no membership, listing or benefit is a guarantee of any outcome, funding or return.

Limitation of liability

To the fullest extent permitted by law, Eagle disclaims liability for any indirect, incidental, special or consequential damages, and for any dealings between members, arising out of or relating to your use of the Marketplace.

Changes and termination

We may update these terms, or change, suspend or discontinue the Marketplace, at any time. Material changes will be posted here with a new "last updated" date, and continued use after a change means you accept it. We may terminate or suspend access at any time as described above.

Governing law

These terms are governed by the laws of Switzerland, and the courts of Zürich have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.
